Is this the help you need?

For owners considering a sale, management buyout, group reorganisation, business closure or an equity fundraising.

How we can help

Business sale & exit planning

We review the proposed deal, your ownership history and potential reliefs, then explain the tax implications and matters to address before completion.

Restructuring & management buyouts

We assess the tax position of share exchanges, holding structures and buyouts, working with legal advisers on the agreed transaction.

Closing a solvent company

We compare relevant extraction and closure routes, including tax treatment and anti-avoidance conditions. A liquidation requires a licensed insolvency practitioner.

SEIS & EIS support

We assess company eligibility and help prepare agreed advance assurance applications and supporting information for a proposed fundraising.

A clear scope before work starts

  1. 01 / Explain the situation

Tell us what you need to resolve, your timetable and any deadline. We establish whether we can help.

  2. 02 / Agree the service

We set out the work, fees and records needed. You decide whether to proceed before we begin.

  3. 03 / Review the next step

We carry out the agreed work and explain the findings, submissions or actions that need your approval.

Questions you may have

When should I involve you?

Before signing heads of terms or committing to a structure where possible. Early review gives more time to identify tax issues and coordinate with your legal advisers.

Will Business Asset Disposal Relief apply?

It depends on your ownership, role, business activities, disposal and the conditions for the relevant period. We assess eligibility rather than assume the relief is available.

Does HMRC clearance or advance assurance guarantee the result?

No. These apply only to specified matters and depend on accurate information and the transaction meeting the relevant conditions. Investor relief also depends on investor eligibility.

Tell us where you need help.

Start with a short summary and any deadline. We will explain what information we need and how we can assist.
